Clipper Terms

By participating in the Zulachat Clipper Prize Pool program (“Program”), you agree to the following terms and conditions (“Rules”), which apply globally to all participants. These Rules supplement the general Zulachat Terms of Service (the “Terms”) and are intended to govern the specific requirements and rewards of the “Clipper Prize Pool”. If you do not agree to these Rules, you should not participate in the Program.

These Rules form part of the Terms, and the Terms apply to these Rules. In the event of any conflict between the Terms and these Rules, the Terms will prevail.

Capitalised terms used in these Rules have the meaning given to them in the Terms unless expressly defined in these Rules. Any rules of interpretation set out in the Terms also apply to these Rules.

Reference in these Rules to “Paragraphs” are to paragraphs of these Rules.

  • Eligibility and registration
  • Global participation: The Program is open to Clippers worldwide, except where prohibited by law. You are responsible for complying with any local laws applicable to you depending on the jurisdiction from which you access the Program.
  • Age requirement: You must be at least 18 years old to participate in the Program. By joining the Program, you confirm that you meet this age requirement and have the legal capacity to agree to these Rules.
  • Account and social media link: Clippers must have a valid Account and must connect a TikTok or Instagram account to their Account to enroll in the Program. This connection is required so that we can track and verify your Clip submissions. Only one Instagram and one TikTok account may be linked per Account, and you agree to maintain the connection for the duration of your participation in the Program.
  • Account responsibility: You are responsible for maintaining the security of your Account and social media accounts, and any link between them. Any actions taken through your accounts will be presumed to be your own. If you suspect unauthorised access or any security issue with any account, you must notify us immediately.
  • Right to refuse participation: We reserve the right to approve or reject any Clipper’s participation in the Program at our absolute discretion and at any time. We may disqualify or remove you from the Program for any reason, including violation of these Rules or the Terms, without prior notice.
  • Prize Pool overview
  • Monthly Prize Pool: We operate a prize pool for Clippers that resets every month (“Prize Pool”). At the start of each month, a total Prize Pool amount (e.g. USD $5,000) is funded by us for that month’s Program. You acknowledge that:
  • the exact Prize Pool amount may vary by month and will be announced or displayed to Participants within Zulachat. We may, at our absolute discretion, increase, decrease or cancel the Prize Pool for any month; and
  • where we announce a Prize Pool amount for any given month, that is the maximum that the Prize Pool can reach for that month and is not guaranteed; the actual Prize Pool available is subject to the total views initiated by participating Clippers as that month progresses, where increasing views will unlock higher Prize Pool values, always up to the maximum only.
  • Program duration: The Program runs on a calendar month basis. Submissions for new Clipper entrants open at the beginning of the month and close automatically at the end of that month. A new Prize Pool (if any) will begin at the start of the next month under the then-current terms.
  • Right to modify or cancel: We reserve the right to modify, suspend or terminate the Program (or any month’s Prize Pool) at any time, for any reason. This means the Prize Pool amount, duration or any Rules can be changed, or an ongoing Prize Pool can be cancelled at our absolute discretion. It is your responsibility to review these Rules regularly for any updates and changes to the Rules and the Prize Pool.
  • Assumption of risk: You participate in the Program at your own risk. There is no guarantee that the Program will continue for any minimum period. We may discontinue the Program or your participation in it without liability at any time. By participating in the Program, you understand that any time or resources you invest are at your own risk and not refundable or subject to any compensation.
  • Clip creation and submission
  • Earning a share of the Prize Pool: To earn a share of the Prize Pool, you must create and submit Clips following these guidelines:
  • Source Content: Choose Creator Content from any Creator on Zulachat to Clip. You may select Creator Content from any Creator as long as that Creator is active on Zulachat.
  • Export with Watermark: Use the Zulachat export tool to obtain the video segment of the Creator Content you wish to share. The exported Clip will automatically include a watermark (“Watermark”). You may edit the Clip (e.g. trim, add captions, etc.) using your own editing tools or those on TikTok/Instagram, but the original Watermark must remain clearly visible at all times in order to be eligible to earn a share of the Prize Pool.
  • Post to social media: Upload your edited Clip to your linked TikTok or Instagram account. When posting, ensure you comply with all the platform’s community guidelines and terms. Use any required hashtags or captions if we specify them within Zulachat.
  • Submit to Zulachat: After posting on TikTok/Instagram, you must submit the post to Zulachat through the submission form available within Zulachat within 15 minutes of your social media post first going live. This is a strict submission window; late submissions (after 15 minutes) may be disqualified from the Prize Pool for that month. Make sure your social post is public and accessible for verification.
  • Multiple Submissions: You may create and submit multiple different Clips throughout the month. Each separate Clip must go through the review and approval process independently (see Paragraph ‎4). However, duplicate Clip submissions are strictly not allowed – you must not submit the same Clip, or any Clip that has substantially the same content, more than once.
  • Genuine effort: Zulachat rewards high-quality, engaging content. Spamming Zulachat with low-effort, repetitive, misleading or poor-quality uploads or clips is strictly prohibited. Submissions must demonstrate genuine effort, clear editing and meaningful moments from Creator Content. We reserve the right to reject, remove or disqualify any Clip that we deem low quality, mass-submitted or intended to game the system, and may suspend or permanently ban Clippers who repeatedly violate these standards. Only quality content will be eligible to earn a share of the Prize Pool.
  • Review and approval process
  • Pending review: Every submitted Clip enters a “Pending Review” status once you submit the video to Zulachat. During this phase, we will evaluate the submission both through automated systems and manual moderation.
  • Review criteria: Our team will check the following before approving a Clip:
  • The Clip includes the Watermark and it is clearly visible and unaltered.
  • The Clip features a Creator who is an active Zulachat Creator at the time of submission (i.e. the Creator has not been removed from Zulachat).
  • The Clip’s engagement metrics (e.g. views, likes and comments) appear authentic. We look for any signs of artificial inflation or manipulation of metrics. If there is evidence or suspicion of fake views or engagement (e.g. bots, pods etc.), we will reject the Clip and you will be banned from the Program, at our absolute discretion.
  • The content of the Clip and its post complies with these Rules, the Terms and any community guidelines, as well as the policies of TikTok/Instagram. We may reject Clips that are illegal, harmful, infringing or violates any rules (including these Rules the Terms).
  • Approval or rejection: If the Clip passes all checks, it becomes approved and qualified for the current month’s Prize Pool. If it fails any check, it will be rejected and not counted toward the Prize Pool. Our decisions on approval are final and made at our absolute discretion. We are under no obligation to provide detailed feedback for rejected Clips, but common reasons may include missing Watermark, ineligible Creator, suspected fake engagement, duplicate content or Terms or Rules violations.
  • Timing of approval: We aim to review submissions promptly, but not instantaneously. Some Clips may remain in pending status for a short period (even after the month ends) as we complete reviews. You will be able to see the status of your Clip (pending/approved/rejected) in your Account dashboard during the month in which you submitted it.
  • Duration of counting: For each approved Clip, we will count the social media views it accumulates for 10 days from the date of your submission on TikTok and Instagram. Views beyond this 10-day window will not count toward the Prize Pool calculations for that Clip. This 10-day window does NOT apply if the counting extends into the next calendar month; for example, if you submit a Clip on the final day of the month, any views or other performance generated after the month ends will NOT count toward that month’s rewards or the next month's rewards.
  • Fraud review and verification: If we, at our absolute discretion, suspect any fraudulent activity, artificial inflation of views, engagements or other metrics, or any manipulation or abuse of Zulachat or the Prize Pool, we reserve the right to require verification or proof from you. Such proof may include screenshots, screen recordings or access to analytics or insights from the relevant social media post or account. You must provide the requested information within 5 days of our request. Failure to do so, or failure to provide satisfactory proof, may result in the rejection of the submission, withholding or reversal of rewards, suspension or termination of your Account, and/or forfeiture of any associated balances.
  • Prize Pool distribution
  • Cut-off and finalisation: At the end of each month, the submission period for Clips closes automatically. You cannot submit new Clips for that month’s Prize Pool after the deadline. We will finalise the review of any remaining pending Clips in the days immediately following the month’s end. Only approved Clips will be included in the Prize Pool distribution calculations.
  • Calculation of Prize Pool shares: Each approved Clipper will earn a share of the Prize Pool proportionate to the total approved views earned in that month relative to Zulachat’s total approved views by all Clippers:
  • Your “approved views” are the cumulative views of all your Clips that were approved and counted within their respective 10-day windows.
  • The final size of the Prize Pool is subject to the total activity of Clippers across Zulachat and views received by them, as set out in Paragraph ‎2.1.
  • The percentage of the Prize Pool you earn equals your approved views divided by the sum of approved views from all Clippers, multiplied by 100%. For example: if your Clips generated 100,000 approved views in a month out of 1,000,000 total approved views through Zulachat in respect of all Clippers, you would earn 10% of that month’s Prize Pool.
  • This proportional distribution means the more relative views you contribute, the larger your share of the Prize Pool. Conversely, if your Clips gain fewer views relative to other Clippers, your share of the Prize Pool will be smaller.
  • Payout calculation: Once the review period concludes and all approvals are finalised in a given month, we will calculate each Clipper’s earnings for that month. When we have completed the calculation, we will credit each Clipper’s earned amount (being that Clipper’s share of the Prize Pool) to the Clipper’s Wallet (as an “Available to Withdraw” balance).
  • Notification: We may notify Clippers of their final approved view counts and earnings after finalisation (e.g. via email or Zulachat dashboard alert). These results are final barring any later-detected fraud (in which case adjustments may be made as described in Paragraph ‎7).
  • Payouts and withdrawals
  • Withdrawal process: Once your earnings are credited to your Available to Withdraw balance, you may request a payout through Zulachat. Payouts are facilitated via a third-party payment provider (such as Payouts.com), which enables global payment distribution.
  • Minimum withdrawal amount: You must have a minimum of $10 USD in your Wallet to initiate a withdrawal from your Available to Withdraw balance. If your balance is below $10, you will need to accumulate more earnings in subsequent months until the threshold is met. Balances under the minimum will remain in your Account and roll over to future months.
  • Unclaimed balances: If you do not withdraw your available balance for a continuous period of 12 months and your Account shows no activity during that time, we may, subject to applicable law, deem such balance and your Wallet abandoned. In such cases, we may forfeit the unclaimed balance, close or suspend your Account, or otherwise handle such funds as required by applicable law. We may attempt, but are not obligated, to notify you before taking any such action.
  • Withdrawal fees: We will charge a processing fee equal to 5% of any amount you withdraw, plus any fees charged by our payment service provider. These fees will be applied to all Clipper withdrawals, and will be automatically deducted from the amount you withdraw. For example, if you withdraw $100, a 5% fee ($5), plus any applicable payment provider fees, will be deducted before any amount is paid to you, and you will receive the remaining balance.
  • Payment method: We use Payouts.com (or an equivalent service that we use for such purposes from time to time) to deliver funds to you that you withdraw. You may be required to set up an account with the payment provider or provide necessary information (such as PayPal, bank details, or other supported methods) to receive any funds. All payouts will be made in USD (unless otherwise specified), and if currency conversion is needed, the conversion will be handled by the payment provider at their rates.
  • Timing: Payout requests are typically processed within 5 to 10 business days, but this timeframe can vary. We will aim to fulfill payouts promptly, but do not guarantee a specific transfer time. Delays can occur due to verification steps, bank holidays or other processing issues.
  • Taxes: You are responsible for any taxes, duties or fees associated with receiving your payout. We will not withhold taxes on your behalf (except as required by law). We may ask you to provide tax information or documents if required by law before releasing certain payout amounts.
  • Payout issues: If a payout is rejected or fails (for example, due to incorrect information or issues with your chosen method), it will be returned to your Wallet. You will need to correct the issue and request the payout again. Any fees charged by the payment provider for failed or returned payouts may be deducted from your balance.
  • Prohibited conduct and disqualifications
  • Prohibited conduct: To ensure a fair and honest competition, all Clippers must adhere to the highest standards of integrity. Any attempt to cheat or violate these Rules will result in disqualification and other penalties. Prohibited conduct includes the following:
  • Artificial engagement: Do not use bots, click-farms, scripts, automated services or any other means to artificially inflate views, likes, comments or other metrics on your submitted Clips. We strictly prohibit the use of any engagement manipulation tools or services. All views and interactions must be genuine and from real viewers.
  • Buying traffic or engagement: Do not purchase views, likes or followers, or use “engagement pods” or pay people to watch your Clips. Any signs of paid or inauthentic engagement will lead to rejection of the Clip and potential banning of the Clipper from the Program and from Zulachat.
  • Duplicate or stolen content: Each Clip you submit should be unique. Submitting the same Clip more than once or copying another Clipper’s content is prohibited. Additionally, your Clip should not reuse content that has already been widely published outside Zulachat in a way that violates originality expectations. Using the same source video as someone else is allowed, but your edit should be your own work.
  • Violating Zulachat: Do not violate our Terms, these Rules or any Zulachat community guidelines in your clipping activities. Similarly, you must follow TikTok’s and Instagram’s rules when posting there. Content that is hateful, harassing, explicit, or otherwise breaches platform policies will be disqualified and could result in further action against you and your Account.
  • Infringing or unlicensed content: Ensure that any additional material you add to your Clip (such as music, images or graphics not provided by us) is your own or properly licensed. Clips must not infringe on any third-party Intellectual Property Rights or privacy/publicity rights, nor contain unlicensed music or media. If you include content (such as background music) that you do not have rights to use, your Clip may be rejected or removed.
  • Fraud and deceptive behavior: Any form of fraudulent, deceptive or unethical behavior is prohibited. This includes misrepresenting your identity, attempting to hack or interfere with the submission system, colluding with others to game the system or any conduct that we deem (at our absolute discretion) to violate the spirit of the Program.
  • Multiple accounts: You may not create multiple Accounts to submit more Clips or otherwise gain an unfair advantage. Each individual is limited to one Account; using alter egos or asking others to submit on your behalf is not allowed.
  • Consequences of violations: If you engage in any prohibited conduct in respect of our Terms or these Rules, we may take one or more of the following actions at our absolute discretion:
  • Immediately reject or remove your submitted Clip from the Program (if it hasn’t been already).
  • Disqualify you from the current Prize Pool and forfeit any potential earnings for you for that month.
  • Disqualify you from participating in any future Prize Pools.
  • Ban or suspend your Account (temporary or permanent removal from Zulachat).
  • Withhold or confiscate any unpaid earnings in your Account that are associated with misconduct. For example, if you were found cheating after being approved, we can cancel your earned Prize Pool share for that month or from previous months.
  • Take legal action against you.
  • Refuse future payouts or revoke past payouts if subsequent investigation finds that your Clip violated these Rules or our Terms, or infringed third-party rights. If a payout has already been issued for a fraudulent Clip, we reserve the right to demand its return or offset it against any of your future earnings on Zulachat or take legal action to recover it from you.
  • Our decision is final: Our decision on violations (and the consequences of any violation) is final. We reserve the right to conduct audits and use tools at any time to assess the authenticity of views and engagements. If you believe you were wrongly penalised, you may contact customer support, but our decision will remain final.
  • Content ownership and license
  • Ownership of original content: As a Clipper, you acknowledge that Creator Content is originally created by Creators and/or us. You do not obtain ownership of Creator Content by clipping it. You retain ownership of any original content or creative edits you contribute to your Clips (for example, any commentary, subtitles or editing style you add is yours). However, by submitting a Clip, you understand that it is a derivative work of Zulachat content or Creator Content, and you licence the Clip to us as set out in these Rules and our Terms.
  • License to us: By creating and submitting a Clip in the Program, you grant us a worldwide, perpetual, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, distribute and display your submitted Clip for any purpose in connection with Zulachat. This license allows us to, for example, feature your Clip on our website, social media or any other Zulachat platform, show it to other Users, or use it in our marketing materials or otherwise to promote the Zulachat and the Program. You also permit us to create derivative works from your Clip or to combine it with other content (e.g. in highlight reels or advertisements).
  • Name and likeness release: By participating in the Program, you grant us the right to use your name, social media username, profile picture and likeness for the purpose of announcing Program results or promoting the Program and Zulachat. For example, we may display your social media handle and profile image in a leaderboard, or announce that you were a top or leading Clipper of the month. This usage will be without any further notice to you, consent from you and any additional compensation. It will be limited to Program or Zulachat-related publicity.
  • Your warranties: You represent and warrant that you have all necessary rights to submit the Clips and to grant the license set out in this Paragraph ‎8. This means:
  • The Clip you submit (including any music or images you added) either belongs to you, is licensed to you, or is content that we made available to you for this purpose.
  • Your Clip (in its edited form) does not infringe the Intellectual Property Rights, privacy rights, publicity rights or other rights of any third party.
  • You have complied with all applicable laws and regulations in creating and sharing the Clip.
  • No additional compensation: Apart from the Prize Pool distribution described in these Rules, you understand that you will not receive any royalties or payments from us for the rights you grant to us under these Rules. The Prize Pool share (if any) you earn is your sole compensation for your participation in the Program and for the content/license you provide.
  • Moral rights: To the extent any “moral rights” or similar rights apply to your Clip, you agree to waive (or not enforce) those rights against us or our partners to allow the uses of the Clip as described. You shall ensure that we can edit or use your Clip without further obligation to you or any third party. To the fullest extent permitted by applicable law, you hereby irrevocably assign, transfer and waive in our favour any and all moral rights or similar rights you may have in and to the Clip, including the rights of attribution and integrity; you further agree not to assert any such rights against us or any third party authorised by us or you to use the Clip.
  • Content removal: If you delete your Account or a specific Clip from Zulachat, this will not retroactively void the license you granted to us for that Clip; we may retain copies for archival or legal purposes or continue using the Clip in contexts already permitted. We may continue to use, display, host, distribute, modify and create derivative works from your Clip and any materials created in connection with Zulachat or the Prize Pool after you stop participating or close your Account, including for marketing, promotional, advertising, product and Zulachat-related purposes. You acknowledge and agree that this right is perpetual and irrevocable, and that no additional compensation will be owed to you for such use.
  • Liability limitations and disclaimer
  • No warranty: We provides the Prize Pool Program “as is” and without any warranty or guarantee of any kind, to the maximum extent permitted by law. We do not guarantee that participating in the Program will result in any earnings or any particular outcome. All metrics (such as views and likes) are subject to verification and adjustment by us. We disclaim any warranties of merchantability or fitness for a particular purpose regarding the Program.
  • Platform functionality: While we strive to keep Zulachat available and error-free, we do not guarantee that submissions or tracking will be uninterrupted or flawless. There may be technical issues, maintenance or factors outside our control (such as outages on TikTok or Instagram) that interfere with Clip submissions or view counting. We are not liable for any technical malfunctions, lost or delayed submissions, or inability to participate due to technical issues. Participants should maintain their own records of submissions and be prepared for potential delays or glitches.
  • Indemnification: You agree to indemnify us and hold us harmless against and from any claims, liabilities, damages or expenses (including legal fees) arising out of your participation in the Program. This includes, for example, any claim by a third party that your Clip infringed their Intellectual Property Rights or rights, or any claim arising from your breach of these Rules or our Terms.
  • Limitation of liability: To the fullest extent allowed by law, our liability arising from the Program or these Rules is limited and excluded. Clause 19 of the Terms shall apply to these Rules.
  • General terms
  • Amendments: We may update or amend these Rules from time to time. Changes may be made to address operational needs, legal requirements or other considerations. We will notify participants of any material changes (for example, via email or a notification on Zulachat). However, it is your responsibility to review the Rules periodically. Continued participation in the Program after changes are made constitutes your acceptance of the amended Rules.
  • Termination of participation: We reserve the right to terminate or suspend your participation in the Program at any time if you violate these Rules or the Terms, if we suspect fraudulent activity or for any other reason at our absolute discretion. If your participation is terminated (or if the Program as a whole is terminated), any pending or unpaid prize earnings may be forfeited if they arose from or are connected to a violation. If you choose to withdraw from the Program, you should notify us and cease submitting Clips; any Clips already submitted will still be subject to these Rules.

By participating in the Clipper Prize Pool Program, you acknowledge that you have read, understood and agreed to abide by these Rules. Good luck and happy clipping! 🎉
